Bylaws Correction/Clarification

Last week there was a proposal submitted to clarify how long vacancy appointments should last as a result of officer elections now occurring every two years instead of every year. There was one sentence that should have been clarified when those changes were enacted.

If there is a two-thirds vote of the members present and by proxy at the next scheduled meeting (April 9), then these changes will become effective immediately.

Here are the proposed changes:

Suggestion:  Article III, Item 4

Current:
The Board of Directors shall make interim appointments to fill vacancies occurring in the offices of President, Vice-President, Treasurer, Secretary, and Director. Said appointments shall be effective until the next annual meeting of the membership.

Proposed:
The Board of Directors shall make interim appointments to fill vacancies occurring in the offices of President, Vice-President, Treasurer, Secretary, and Director. Said appointments shall be effective until that officer’s next scheduled election as specified in Article III, Section 1.

Voting/Proxy Information:

The e-mail can contain the individual to whom you would like to vote on your behalf or simply your absentee vote on each proposal.
Your proxy will not be valid until it has been verified and confirmed by the Board.
